1. Definitions
- "Agreement" means these Terms and Conditions in their entirety.
- "We / Us / Our" refers to mylumetix, an AI engineering consultancy based in Kuala Lumpur, Malaysia.
- "You / User / Client" means any individual or organisation accessing our website or engaging our services.
- "Services" means AI engineering engagements including Reinforcement Learning Solutions, AI-Enhanced Accessibility Tools, and AI Landscape Briefings, as described on our website.
- "Deliverables" means reports, models, APIs, documentation, or other outputs produced during a service engagement.
- "Content" means any material published on our website, including text, images, code samples, and documentation.
2. Acceptance of Terms
By submitting an enquiry form, entering into a service engagement, or using this website, you confirm that:
- You are at least 18 years of age and have the legal capacity to enter into binding agreements.
- If acting on behalf of an organisation, you have authority to bind that organisation to this Agreement.
- You have read, understood, and agree to these Terms and our Privacy Policy.
3. Service Description
mylumetix provides professional AI engineering consultancy services in Malaysia, including:
- Reinforcement Learning Solutions — design and deployment of RL systems for optimisation problems, covering environment modelling, reward function design, agent training, and deployment as decision-support APIs. Duration: 12 weeks.
- AI-Enhanced Accessibility Tools — development of AI-powered accessibility features including alt-text generation, content simplification, and WCAG compliance testing. Duration: 8 weeks.
- AI Landscape Briefing — a structured research engagement mapping the AI landscape relevant to your industry, delivered as a written brief and presentation. Duration: 2 weeks.
Service availability is subject to capacity and scoping discussions prior to commencement. We reserve the right to decline engagements at our discretion.
4. User Responsibilities
As a user of our website and services, you agree to:
- Provide accurate, complete, and up-to-date information during any engagement or form submission.
- Use our website and services only for lawful purposes and in compliance with applicable Malaysian law.
- Not attempt to reverse-engineer, copy, scrape, or commercially exploit content from our website without prior written consent.
- Not transmit harmful, offensive, or unlawful content through any communication channel with mylumetix.
- Not misrepresent your identity, authority, or affiliation when engaging with us.
5. Intellectual Property
All website content — including text, design elements, code, and branding — is the intellectual property of mylumetix and protected under applicable Malaysian and international law.
Upon full payment for a service engagement, mylumetix grants the client a non-exclusive, non-transferable licence to use the Deliverables for their internal business purposes. Unless otherwise agreed in writing:
- mylumetix retains ownership of all underlying methodologies, tools, and pre-existing intellectual property used to create Deliverables.
- Clients may not sublicense, resell, or publicly distribute Deliverables without prior written consent.
- Any content you provide to mylumetix for use in a project remains your property; you grant us a limited licence to use it solely for the agreed engagement.
6. Payment Terms
All fees are quoted in Malaysian Ringgit (RM) and are subject to the following conditions:
- Payment terms and schedules will be specified in a separate engagement letter or proposal issued before work commences.
- mylumetix typically requires a deposit prior to project commencement, with the balance due on agreed milestones or completion.
- Invoices are payable within 14 days of issue unless otherwise agreed.
- Late payments may incur a charge of 1.5% per month on the outstanding balance.
- Refund eligibility is assessed on a case-by-case basis; refunds are not available for Deliverables already completed and accepted by the client.
- Pricing displayed on the website is indicative. Final pricing is confirmed in writing prior to engagement.
7. Service Delivery
- Timelines are estimates based on project scope agreed at commencement. Delays caused by client-side factors (e.g., late provision of required data or approvals) may extend delivery timelines.
- mylumetix will communicate material changes to scope or timeline promptly and in writing.
- Acceptance of Deliverables is deemed to occur if no written objection is raised within 7 business days of delivery.
- Post-delivery support is not included unless specifically scoped and agreed in the engagement letter.
8. Disclaimers
Our website and services are provided on an "as available" basis. We make no representations or warranties, express or implied, regarding:
- The accuracy or completeness of information on our website.
- The achievement of any specific business outcome from our AI services.
- Uninterrupted or error-free operation of any AI systems or tools delivered.
AI systems involve inherent uncertainty. Outputs and recommendations from Deliverables are intended to support human decision-making, not to replace professional judgement in regulated or safety-critical contexts.
9. Limitation of Liability
To the fullest extent permitted by Malaysian law, mylumetix's total liability arising from or in connection with any engagement shall not exceed the total fees paid by the client for the specific service giving rise to the claim.
In no event shall mylumetix be liable for:
- Indirect, consequential, or incidental losses.
- Loss of revenue, profit, data, or business opportunity.
- Losses arising from reliance on AI outputs in high-stakes or regulated decisions without independent expert review.
Nothing in this clause excludes liability for fraud, death, or personal injury caused by our negligence.
10. Indemnification
You agree to indemnify and hold harmless mylumetix, its personnel, and affiliates from any claim, loss, or expense (including reasonable legal fees) arising from:
- Your breach of this Agreement.
- Your misuse of Deliverables beyond agreed terms.
- Any false or misleading information you provided during an engagement.
- Your violation of any applicable law or third-party rights.
11. Termination
Either party may terminate a service engagement with written notice if:
- The other party materially breaches this Agreement and fails to remedy the breach within 14 days of written notice.
- The other party becomes insolvent or enters into any formal insolvency process.
Upon termination, the client is responsible for payment of all fees for work completed to the date of termination. mylumetix will retain a copy of project materials as required by law. Clauses relating to intellectual property, confidentiality, liability, and dispute resolution survive termination.
12. Dispute Resolution
This Agreement is governed by the laws of Malaysia. The parties agree to:
- First attempt to resolve any dispute informally through good-faith discussion within 30 days of written notification of the dispute.
- If informal resolution fails, submit the matter to mediation before the Asian International Arbitration Centre (AIAC) in Kuala Lumpur.
- If mediation is unsuccessful, disputes shall be resolved by arbitration under AIAC rules, with proceedings conducted in English in Kuala Lumpur.
Nothing in this clause prevents either party from seeking urgent injunctive relief from a Malaysian court where necessary.
13. General Provisions
- Entire Agreement: This Agreement, together with any engagement letter and the Privacy Policy, constitutes the entire agreement between the parties regarding its subject matter.
- Severability: If any provision is found to be unenforceable, the remaining provisions remain in full effect.
- Waiver: Failure to enforce any provision does not constitute a waiver of our right to enforce it in the future.
- Assignment: You may not assign your rights under this Agreement without our prior written consent. We may assign our obligations to a successor entity without restriction.
- Force Majeure: Neither party shall be liable for delays caused by events outside reasonable control, including natural disasters, pandemics, or government action.
14. Changes to Terms
We may update these Terms periodically. When material changes are made, the "Last Updated" date will be revised. Continued use of our website or services following any update constitutes your acceptance of the revised Terms. For active service engagements, material changes will be communicated directly in writing.
